Terms and Conditions for HoldAssistant

These Terms and Conditions ("Terms") govern your access to and use of the website and voice AI services provided by Hold Assistant ("we," "us," or "our"). By accessing our platform or deploying our AI agents, you agree to be bound by these Terms.

Scope of Service

Hold Assistant provides artificial intelligence-powered voice agents designed to facilitate intake, scheduling, and customer communication for restoration and mitigation businesses.

Non-Emergency Use: Our AI agents are intake tools and are not a replacement for emergency 911 services.

Modification: We reserve the right to modify or withdraw features at any time to improve system performance.

Accuracy & Service Disclaimer

You acknowledge that Hold Assistant uses artificial intelligence and machine learning to provide services. Due to the nature of these technologies, the Service may occasionally produce "hallucinations" or Output that does not accurately reflect real-world facts, people, or events. You are responsible for reviewing and verifying the accuracy of all Output before relying on it or sharing it with third parties. Hold Assistant is provided on an "as is" basis and makes no guarantees regarding the accuracy or reliability of AI-generated content.

User Obligations & Compliance

As a subscriber, you are responsible for how the AI interacts with your customers. You agree to:

Legal Compliance: Comply with all state and federal telecommunications laws, including the Telephone Consumer Protection Act (TCPA).

Consent: Ensure your customers have provided appropriate consent to be contacted and recorded by an AI system.

Accuracy Verification: Acknowledge that AI-generated outputs may not always be 100% accurate. You are responsible for verifying critical project facts (e.g., address of loss, scope of damage) before taking action.

3. Prohibited Conduct

You agree not to use Hold Assistant to: (a) create or distribute deepfakes, misleading content, or unauthorized celebrity impressions; (b) engage in fraud, harassment, or illegal "robocalling" activities; (c) generate content that promotes hate speech or violence; or (d) impersonate any person or entity without legal authorization. We reserve the right to terminate access immediately if we detect a violation of these standards. In addition you may not use Hold Assistant to:

Deceive: Misrepresent the AI as a live human being after the initial disclosure.

Abuse: Transmit harassing, fraudulent, or illegal material.

Reverse Engineer: Attempt to discover the source code, underlying algorithms, or proprietary "logic" of the voice agents.

Intellectual Property & Customer Representation

Our Platform: Hold Assistant retains all rights, titles, and interests in the AI models, voice profiles, and software.

Your Data: You retain ownership of the specific customer data (Input Data) provided to the service. However, you grant us a license to process this data to provide and improve the service.

Customer Representation: You represent and warrant that you own or have the necessary licenses, rights, and consents to provide any data, scripts, or voice recordings (collectively, "Customer Content") to the Service. If you use our "voice cloning" or custom voice features, you explicitly guarantee that you have obtained written permission from the individual whose voice is being used and that such use complies with all local personality and privacy rights.

Output Ownership: Between you and Hold Assistant, you own all Output generated by the service (the audio files and transcriptions) produced based on your specific prompts and data. Hold Assistant hereby assigns to you all its right, title, and interest in and to such Output. You are responsible for the Output, including ensuring that it does not violate any applicable law or these Terms.

Limitation of Liability

PLEASE READ CAREFULLY: To the maximum extent permitted by law, Hold Assistant shall not be liable for:

Any indirect, incidental, or consequential damages (including lost profits or loss of insurance payouts).

Errors in AI transcription that lead to scheduling delays or incorrect mitigation assessments.

Our total aggregate liability for any claim shall not exceed the fees paid by you to Hold Assistant in the 12 months preceding the claim.

Termination

We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or if your use of the AI poses a risk to our platform's security or reputation.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
